Comprehensive Terms and Conditions for AI Recruiting Communications and
Messaging Program
Effective Date: August 13, 2026

These Terms and Conditions (“Terms”) govern your access to and use of the recruiting
communications, artificial intelligence (“AI”) voice chatbot, SMS/MMS messaging,
automated communications, and related services provided by Imagine Staffing Technology
Inc., doing business as Imagine Group (“Imagine Group,” “we,” “us,” or “our”).
By using, accessing, or interacting with our AI voice chatbot or enrolling in our recruiting related messaging program, you acknowledge that you have read, understood, and agree to
these Terms. If you do not agree to these Terms, you should not use the applicable service.
These Terms apply to communications provided directly by Imagine Group and
communications facilitated through third-party technology, telecommunications, artificial
intelligence, automation, messaging, applicant tracking, customer relationship
management, and other service providers.

1. Purpose of the Service
Imagine Group is a staffing and recruiting organization that assists individuals seeking
employment opportunities and assists businesses with staffing and recruiting services.
Our AI voice chatbot and related automated communication systems are intended to
facilitate introductory recruiting interactions, including but not limited to:
• Initial candidate screening and qualification;
• Responding to general employment and recruiting questions;
• Providing general information regarding employment opportunities;
• Collecting or confirming information relevant to recruiting;
• Facilitating communications between candidates and Imagine Group;
• Providing information concerning recruiting processes;
• Communicating about potential employment opportunities;
• Scheduling or facilitating recruiting-related interactions; and
• Other administrative or introductory recruiting functions.
The AI system is an automated technology tool. You will be informed when you are
interacting with an AI system.
The AI system is not a human recruiter, employment attorney, hiring manager, or
representative authorized to make binding employment decisions on behalf of Imagine
Group.

2. No Guarantee of Employment
Nothing contained in the AI system, any SMS/MMS message, telephone call, automated
communication, website, application, recruiting communication, or other interaction with
Imagine Group constitutes or should be interpreted as a promise, guarantee, offer, or
commitment of employment.
Participation in recruiting communications does not guarantee:
• Employment;
• An interview;
• A job offer;
• Placement with a particular employer;
• Placement in a particular position;
• A particular rate of pay or compensation;
• A particular work schedule;
• Continued availability of a position;
• Selection by an Imagine Group client; or
• Any other employment outcome.
All employment opportunities are subject to applicable requirements, candidate
qualifications, position availability, client requirements, hiring decisions, background or
credential requirements where applicable, and other conditions that may apply.
Imagine Group and its clients retain sole discretion regarding hiring and placement
decisions, subject to applicable law.
Information provided by the AI system concerning employment opportunities may change
or become unavailable without notice.

3. AI-Generated Information
The AI system uses automated technology and may generate responses based on
information provided to it, information made available to it, programmed instructions, or
information supplied by third-party technology providers.
Although Imagine Group seeks to provide useful and accurate information, we do not
warrant or guarantee that AI-generated information will always be accurate, complete,
current, appropriate, or error-free.
AI-generated communications may contain errors, omissions, misunderstandings,
outdated information, or information that does not accurately reflect the current status of a
position or recruiting process.
You should verify important information with an Imagine Group representative before
relying upon it.
The AI system does not have authority to:
• Enter into contracts on behalf of Imagine Group;
• Guarantee employment;
• Guarantee placement;
• Guarantee compensation;
• Make binding hiring decisions;
• Modify an employment agreement;
• Waive a legal or contractual requirement; or
• Otherwise create obligations on behalf of Imagine Group unless expressly
authorized by Imagine Group in writing.
No statement made solely by the AI system should be interpreted as creating a contractual
commitment by Imagine Group.

4. Recruiting SMS/MMS Messaging Program
Imagine Group may provide recruiting-related SMS and/or MMS communications to
applicants and candidates who have affirmatively consented to receive such
communications.
The messaging program is intended solely for recruiting and employment-related
communications, including information concerning employment opportunities, recruiting
processes, candidate screening, interview-related communications, administrative
recruiting information, and other communications reasonably related to a candidate’s
interaction with Imagine Group.
Messages will not be used to provide unrelated commercial promotions or unrelated
marketing communications.
Message frequency varies based on the candidate’s interaction with Imagine Group,
available employment opportunities, recruiting activity, and other circumstances. There is
no guaranteed number of messages that a recipient will receive.
Message and data rates may apply.
Your mobile carrier may charge you for messages or data according to the terms of your
wireless plan. Imagine Group does not control those charges.

5. Consent to Receive Messages
By affirmatively opting into Imagine Group’s recruiting-related SMS/MMS messaging
program, you expressly consent to receive recurring recruiting-related text messages from
Imagine Group at the mobile telephone number you provide.
Consent is voluntary and is not a condition of applying for employment, being considered
for employment, receiving recruiting services, or obtaining any employment opportunity.
Where Imagine Group’s application or recruiting process presents a messaging-consent
checkbox, the checkbox is intended to be separate from acceptance of these Terms and
any Privacy Policy and will not be selected by default.
By selecting the applicable messaging-consent option, you confirm that:
1. You are the subscriber or customary user of the mobile telephone number provided;
2. You authorize Imagine Group to send recruiting-related SMS/MMS messages to that
number;
3. You understand that message frequency varies;
4. You understand that message and data rates may apply;
5. You understand that consent is not required to apply for employment or receive
recruiting consideration; and
6. You understand that you may withdraw your consent at any time.
Providing a telephone number alone does not constitute consent to receive SMS/MMS
messages where Imagine Group’s applicable consent process requires a separate
affirmative messaging-consent action.
Consent to receive recruiting messages is specific to Imagine Group’s recruiting messaging
program and is not a consent to receive unrelated marketing messages from third parties.

6. Opting Out of Text Messages
You may withdraw your consent to receive recruiting-related text messages at any time.
To stop receiving SMS/MMS messages, reply STOP to any Imagine Group recruiting text
message.
After receiving a valid opt-out request, Imagine Group will process the request and cease
sending recurring recruiting-related messages to the applicable number, except for
messages that may be necessary to process the opt-out request or that are otherwise
permitted or required by applicable law.

Opting out of SMS/MMS communications does not necessarily terminate other forms of
communication between you and Imagine Group. You may continue to communicate with
Imagine Group through other available channels unless you separately request that such
communications cease.

8. Telephone and AI Voice Communications
If you provide a telephone number and separately authorize applicable telephone or
automated communications, Imagine Group or its authorized technology providers may
use that number to communicate with you concerning recruiting and employment-related
matters.
Communications may include automated or AI-assisted voice calls.
The AI voice system may identify itself as an AI or automated system. You should not
assume that you are communicating with a human representative unless the system
expressly indicates otherwise.
You may request human assistance through the contact information provided by Imagine
Group.
Where legally required, Imagine Group will obtain and maintain appropriate consent or
authorization for automated or AI-assisted communications.
You may request that Imagine Group discontinue AI-assisted or automated

9. Call Recording, Monitoring, and Communications Records
To the extent permitted by applicable law, Imagine Group and its authorized service
providers may monitor, record, transcribe, analyze, store, or otherwise process telephone
calls, AI voice interactions, SMS/MMS messages, and other communications for purposes
including recruiting administration, quality assurance, customer service, security, fraud
prevention, compliance, dispute resolution, system improvement, and recordkeeping.
Where applicable law requires notice or consent for recording or monitoring, Imagine
Group will provide such notice or obtain such consent.
Communications involving third-party AI, telecommunications, or technology providers
may be processed through those providers in accordance with their applicable contractual
and legal obligations.

10. Third-Party Technology Providers
Imagine Group may use third-party vendors, contractors, service providers,
telecommunications carriers, artificial intelligence providers, software providers, cloud
service providers, applicant tracking systems, customer relationship management
systems, messaging providers, voice providers, hosting providers, analytics providers,
security providers, and other technology providers to operate, maintain, support, secure, or
improve its recruiting communications and services.
These providers may process information on Imagine Group’s behalf as necessary to
provide their contracted services.
Imagine Group does not authorize third parties to use mobile telephone numbers or
SMS/MMS opt-in information obtained through this messaging program for their own
independent marketing or promotional purposes.
Third-party technology providers may be subject to their own technical limitations,
outages, policies, security practices, and operational requirements.
Imagine Group does not control third-party systems and cannot guarantee their availability,
reliability, security, accuracy, or uninterrupted operation.

11. Privacy
Your privacy is important to Imagine Group.
Information collected through the recruiting process and communications program is
handled in accordance with Imagine Group’s Privacy Policy, available at:
https://imaginegroup.com/privacy-policy/
The Privacy Policy is incorporated into these Terms by reference to the extent applicable.
Imagine Group does not sell or share SMS/MMS opt-in information or consent information
with third parties or affiliates for their own marketing or promotional purposes.
Third-party service providers may receive information as necessary to provide contracted
services to Imagine Group, including telecommunications, messaging, voice, AI, hosting,
security, recruiting, and other operational services.

12. Accuracy of Candidate Information
You are responsible for providing accurate, complete, and current information during the
recruiting process.
You agree not to knowingly provide false, misleading, fraudulent, or materially incomplete
information.
Imagine Group may rely upon information provided by you for recruiting and administrative
purposes.
You should promptly notify Imagine Group if your contact information, employment status,
qualifications, availability, or other material information changes.
Imagine Group is not responsible for employment-related consequences resulting from
inaccurate, incomplete, outdated, or misleading information supplied by you.

13. Eligibility and Appropriate Use
The recruiting services and AI communications are intended for individuals who are legally
permitted to seek or obtain employment.
You may use the service only if you are at least the minimum legal age required to seek or
obtain employment in the applicable jurisdiction.
You may not use the service to:
• Impersonate another person;
• Provide fraudulent information;
• Interfere with the operation of the AI system or messaging program;
• Attempt to gain unauthorized access to systems;
• Abuse, harass, threaten, or deceive Imagine Group personnel or technology
systems;
• Submit another person’s personal information without authorization;
• Circumvent security or technical controls; or
• Use the service for any unlawful purpose.
Imagine Group may suspend or terminate access to its AI or recruiting communication
systems where it reasonably believes that misuse, fraud, abuse, or unlawful activity has
occurred.

14. Service Availability and Technical Limitations
Imagine Group does not guarantee that the AI system, telephone system, SMS/MMS
system, website, recruiting platform, or any related service will be continuously available,
uninterrupted, secure, timely, or error-free.
The service may be temporarily unavailable due to:
• Maintenance;
• Software or hardware failures;
• Telecommunications failures;
• Internet or network failures;
• Wireless carrier limitations;
• Third-party vendor outages;
• AI system errors;
• Cybersecurity incidents;
• Natural disasters;
• Power failures;
• Government actions;
• Changes in telecommunications regulations;
• Carrier filtering or blocking;
• Message delivery failures; or
• Other circumstances beyond Imagine Group’s reasonable control.
Imagine Group does not guarantee that every message, call, notification, or AI-generated
communication will be delivered, received, processed, or displayed correctly.
Carriers are not liable for delayed or undelivered messages.

15. AI and Automated-System Limitations
You acknowledge that artificial intelligence and automated systems are probabilistic
technologies and may produce inaccurate or unexpected results.
Imagine Group does not warrant that:
• AI-generated responses will be accurate;
• AI-generated responses will reflect the most current information;
• The AI system will correctly understand every statement;
• The AI system will correctly interpret every question;
• Automated screening will identify every relevant qualification;
• Automated communications will be delivered successfully;
• The AI system will always behave as expected; or
• The AI system will always be available.
You agree not to rely exclusively upon an AI-generated communication when making an
important employment, legal, financial, or other consequential decision.

16. No Professional Advice
The AI system and recruiting communications do not provide legal, tax, financial, medical,
immigration, or other professional advice.
Nothing communicated by the AI system should be considered professional advice.
You should consult an appropriately qualified professional regarding matters requiring
professional advice.

17. Intellectual Property
All software, technology, content, trademarks, service marks, logos, designs, text,
graphics, AI interfaces, and other materials provided by Imagine Group or its authorized
providers are owned by or licensed to Imagine Group or the applicable rights holder and are
protected by applicable intellectual-property laws.
Except as expressly permitted by Imagine Group, you may not copy, reproduce, modify,
distribute, reverse engineer, scrape, exploit, or create derivative works from the systems or
materials provided through the service.
“Imagine Group” and related branding are used by Imagine Staffing Technology Inc.

18. User-Provided Content
By submitting information through Imagine Group’s recruiting systems, you authorize
Imagine Group to use and process that information as reasonably necessary to provide
recruiting services, communicate with you, evaluate employment opportunities,
administer the recruiting process, maintain records, comply with legal obligations, and
operate its systems.
You represent that you have the right to provide information that you submit to Imagine
Group.
You should not submit confidential information belonging to another person or organization
unless you are authorized to do so.

19. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AI SYSTEM, RECRUITING
COMMUNICATIONS, SMS/MMS PROGRAM, TELEPHONE SERVICES, WEBSITE, SOFTWARE,
AND RELATED SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
IMAGINE GROUP DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR
OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY,
SECURITY, AND FREEDOM FROM ERRORS OR INTERRUPTIONS, EXCEPT TO THE EXTENT
SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.
IMAGINE GROUP DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR
REQUIREMENTS, PRODUCE A PARTICULAR EMPLOYMENT RESULT, OR OPERATE WITHOUT
INTERRUPTION, DELAY, ERROR, OR DEFECT.

20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMAGINE GROUP, ITS PARENTS,
SUBSIDIARIES, AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS,
REPRESENTATIVES, CONTRACTORS, TECHNOLOGY PROVIDERS, SERVICE PROVIDERS,
AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR OTHER NON-DIRECT DAMAGES ARISING
OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE AI SYSTEM, TELEPHONE
SERVICES, SMS/MMS PROGRAM, WEBSITE, RECRUITING SERVICES, OR RELATED
TECHNOLOGY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THIS INCLUDES DAMAGES OR LOSSES
ARISING FROM OR RELATED TO:
• AI-generated errors or inaccurate information;
• Incorrect or incomplete recruiting information;
• Failure to receive an employment opportunity;
• Failure to obtain employment;
• Failure to receive an interview;
• Hiring or placement decisions;
• Delayed, failed, blocked, filtered, or undelivered messages;
• Telephone or telecommunications failures;
• Wireless carrier actions;
• Third-party vendor outages;
• Software or hardware failures;
• Website or application interruptions;
• Cybersecurity incidents;
• Unauthorized access;
• Data transmission failures;
• Candidate-provided inaccurate information;
• Automated screening errors;
• Communications made by AI systems;
• Reliance upon information provided through the service; or
• Other technical, operational, or third-party failures.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF
IMAGINE GROUP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS,
CONTRACTORS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THESE
TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT, IF ANY,
YOU PAID DIRECTLY TO IMAGINE GROUP FOR THE SPECIFIC SERVICE GIVING RISE TO THE
CLAIM DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR
(B) ONE HUNDRED UNITED STATES DOLLARS (US $100).
Nothing in these Terms is intended to exclude or limit liability that cannot legally be
excluded or limited under applicable law.

21. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and
hold harmless Imagine Group, Imagine Staffing Technology Inc., their affiliates, owners,
officers, directors, employees, agents, representatives, contractors, and service providers
from and against claims, liabilities, damages, losses, costs, and expenses, including
reasonable attorneys’ fees, arising out of or relating to:
• Your violation of these Terms;
• Your misuse of the services;
• Information you provide that is false, fraudulent, misleading, or unauthorized;
• Your violation of another person’s rights;
• Your unlawful use of the services;
• Your violation of applicable law; or
• Your intentional or negligent misuse of the AI, telephone, messaging, or recruiting
systems.
This provision does not require indemnification to the extent prohibited by applicable law.

22. Third-Party Services and Carriers
The services may depend upon telecommunications carriers, internet service providers, AI
providers, cloud providers, software providers, messaging platforms, and other third
parties.
Imagine Group is not responsible for the acts, omissions, policies, failures, outages,
delays, restrictions, filtering, blocking, or technical limitations of third-party providers.
Your use of third-party services may also be subject to the terms and policies of those third
parties.

23. Electronic Communications and Acceptance
You agree that electronic communications, electronic records, electronic
acknowledgments, and electronic acceptance may satisfy legal requirements for written
communications and agreements to the extent permitted by applicable law.
You may retain a copy of these Terms for your records.

24. Changes to These Terms
Imagine Group may modify these Terms from time to time.
Updated Terms will be posted at the applicable publicly accessible location and will
become effective when posted unless a different effective date is stated.
Your continued use of the applicable services after revised Terms become effective
constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
Changes to SMS/MMS consent requirements will not be used to retroactively expand the
scope of consent previously provided.

25. Suspension or Termination
Imagine Group may suspend, restrict, or terminate access to the AI system, recruiting
communication services, or messaging program at any time where reasonably necessary
for operational, security, legal, compliance, technical, or other legitimate business
purposes.
You may discontinue your participation in the SMS/MMS messaging program at any time by
replying STOP.
Termination or discontinuation of messaging services does not affect provisions of these
Terms that by their nature are intended to survive termination.

26. Governing Law
These Terms shall be interpreted and governed by applicable federal law and, to the extent
not preempted or otherwise superseded by federal law, the laws of the State of New York,
without regard to conflict-of-law principles.
Nothing in these Terms is intended to deprive a user of rights or protections that cannot
lawfully be waived under the laws applicable to that user.

27. Dispute Resolution and Arbitration
To the maximum extent permitted by applicable law, any dispute, claim, or controversy
arising out of or relating to these Terms or the services shall be resolved through binding
individual arbitration rather than in court, except where applicable law prohibits mandatory
arbitration or permits the claim to proceed in court.
The arbitration shall be conducted by a mutually recognized arbitration provider under its
applicable rules, subject to applicable federal and state law.
To the maximum extent permitted by law, arbitration shall occur on an individual basis.
Neither you nor Imagine Group shall participate in a class action, collective action, or
representative action concerning a dispute covered by this arbitration provision unless
applicable law prohibits such a waiver.
Nothing in this section prevents either party from seeking temporary or preliminary
injunctive relief where permitted by law or from pursuing claims that cannot legally be
subject to mandatory arbitration.
If any portion of this arbitration provision is determined to be unenforceable, the remaining
portions shall remain effective to the maximum extent permitted by law.

28. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that
provision shall be modified or limited to the minimum extent necessary to make it
enforceable, where legally permissible, and the remaining provisions shall remain in full
force and effect.

29. No Waiver
Imagine Group’s failure to enforce any provision of these Terms shall not constitute a
waiver of its right to enforce that provision or any other provision in the future.

30. Entire Agreement
These Terms, together with the Imagine Group Privacy Policy and any other applicable
agreements expressly incorporated by reference, constitute the agreement governing your
use of the applicable AI recruiting and messaging services, except where a separate written
agreement expressly governs a particular service or relationship.
These Terms do not create an employment relationship, staffing assignment, agency
relationship, partnership, joint venture, or contractual obligation to provide employment.

32. Messaging Program Compliance Notice
Imagine Group intends its SMS/MMS recruiting communications program to operate in
accordance with applicable federal and state laws, telecommunications requirements,
carrier requirements, and applicable messaging-industry standards.
Participation in the messaging program is voluntary.
SMS/MMS consent is not a condition of employment, applying for employment, being
considered for employment, receiving recruiting services, or obtaining any employment
opportunity.
Message frequency varies. Message and data rates may apply.
Reply STOP to opt out of recruiting text messages. Reply HELP for help.
Carriers are not liable for delayed or undelivered messages.
Imagine Group does not sell, rent, purchase, or share mobile telephone numbers or
SMS/MMS messaging opt-in consent information with third parties or affiliates for their own
marketing or promotional purposes.
The SMS/MMS program is operated for Imagine Group’s own recruiting and employmentrelated communications and is not intended to function as a third-party lead-generation or
affiliate-marketing program.

33. Acknowledgment
By using Imagine Group’s AI recruiting systems or affirmatively opting into Imagine Group’s
SMS/MMS recruiting communications, you acknowledge that you have had an opportunity
to review these Terms and the Imagine Group Privacy Policy and understand that:
1. The AI system is automated and may make mistakes;
2. AI communications do not guarantee employment or any other employment
outcome;
3. Recruiting communications are provided for employment-related purposes;
4. SMS/MMS participation is voluntary;
5. Message frequency varies;
6. Message and data rates may apply;
7. You may reply STOP at any time to opt out of SMS/MMS communications;
8. You may reply HELP or contact Imagine Group for assistance;
9. Third-party technology providers may be used to operate the services;
10. Telecommunications carriers and third-party providers may experience delays,
outages, filtering, or failures;
11. Imagine Group does not guarantee uninterrupted or error-free operation of its
automated systems; and
12. The limitations, disclaimers, and other protections contained in these Terms apply
to the maximum extent permitted by applicable law.
